Candid Working Talking Points
Congratulations on being chosen to create a video promoting Candid. We love your voice and talent!
Here are some talking points to cover in your video in order to be eligible to receive payment, and some guidelines for any giveaway you conduct as a part of your video:
Creative Control - We want to make the video feel authentic and relevant to your followers. Candid allows users to create groups. This means you/we can create a group for your fans where they can discuss ideas for videos, give you feedback, or have discussions about topics that matter to them. This should help increase their affinity towards you and your channel because they now associate with your channel. We want to encourage your viewers to actively participate in Candid.
Here are some ideas/talking points on how you should format your video:

- 1. In the beginning of the video, you should describe the Candid app in your own words. The features, what it is, what makes it different, why you love the app, etc. Please note: if you describe the app with terms like “free speech” you need to highlight the fact that Candid uses Artificial Intelligence and human moderation to remove things like trolling and hate speech. The app is about open discussion but doesn’t allow abuse. (Focus on anonymity, the ability to have great, honest discussions, and the privacy of anonymity)
- 2. Introduce Candid and the groups you found interesting.
- 3. You should pull between 4-8 posts from Candid and talk about it. Voice your own opinion. You must show screenshots of Candid so people are familiar with it.
- 4. Create and encourage your viewers to join your fan group.
- 5. Verbally say in the video to join your group and the name of your group. DO NOT create a group after a topic. Name it after yourself or your channel

The description needs to be on the very top. You can post your usual description AFTER the Candid description

Tip: Make sure to change it up a bit to make it more your style, but please keep the format of telling your followers to download it with the link, an explanation of Candid, and telling your followers again to download Candid with the link.

Giveaway
The giveaway should be an incentive for you subscribers to install the app, not the focus of the video. Mention that Candid is sponsoring the giveaway then give instructions on how to enter the contest.
- 1. Tell your followers that you’re giving away (whatever you choose i.e. merch, gift cards, etc.)
- 2. To enter, they have to download Candid (link in description).
- 3. Then they have to join (your group) and post their Twitter handles so you can get in touch with them.
- 4. Invite ALL their friends.
- 5. DO NOT require participants to enter the contest by doing anything other than “liking” the video and downloading Candid

Candid Video Production Agreement
This Agreement (“Agreement”) is entered into between Candid Labs, Inc., a Delaware C-Corporation (“Candid”) located at 1000 Brannan St, STE 502, San Francisco, CA and

The parties agree as follows:
1. Services. Subject to the terms and conditions of this Agreement, Producer will create videos to promote the Candid application, according to the specifications in Appendix A
2. Payment. Candid agrees to pay Producer $___________________ according to the following schedule:

Payment will be issued via check, Paypal, or ACH, depending on Producer preference.
3. Relationship of the Parties. Producer is an independent contractor. Neither party will be deemed to be an employee, agent, partner or legal representative of the other for any purpose. Neither party will have any right, power, or authority to create any obligation or responsibility on behalf of the other, except pursuant to the execution of the duties of this agreement.
4. Ownership of Intellectual Property. Producer retains full ownership of and copyright to all produced materials. Upon receipt of payment for videos, Producer grants Candid an unlimited and perpetual license to use, copy, modify, distribute, sub-license or prepare derivative works of the produced material. Producer shall have no license to use, copy, modify, distribute, or license Candid services except as strictly necessary for the execution of obligations under this agreement.
5. Non-exclusivity. The parties expressly acknowledge that this Agreement does not create an exclusive relationship between the parties. Producer is free to engage others to perform services of the same or similar nature to those performed for Candid, and Candid shall be entitled to offer and provide similar opportunities for other video production artists, studios, or groups.
6. Termination. Candid or producer may terminate this agreement at any time.
7. Indemnity. Producer agrees to indemnify, defend and hold harmless Candid and its owners, partners, officers, directors, managers, employees, agents, attorneys and other representatives, as well as any successors and affiliates (collectively “Candid”) from any and all claims, demands, causes of action, judgments, damages, losses, costs and expenses (including reasonable attorneys’ fees) (“Loss”) arising out of: (a) any breach of this Agreement by Producer and (b) Producer’s gross negligence or willful misconduct in the execution of this Agreement.
8. Confidentiality. Producer agrees to hold Confidential Information in confidence. “Confidential Information” shall include all material, nonpublic information, written or oral, disclosed or made
available through any means of communication in the course of business. The terms of this agreement shall be considered a Trade Secret. Producer acknowledges that this information has independent economic value that is not generally known to the public or to others who could obtain economic value from its disclosure or use, and that this information is subject to a reasonable effort by Candid to maintain its secrecy and confidentiality. Except as essential to Producer’s obligations under this Agreement or applicable laws, Producer shall not make any disclosure of this Agreement, the terms of this Agreement, or any Confidential Information.
9. Disputes. Any dispute the parties cannot resolve will be determined according to the laws of the county of San Francisco and State of California.
10. Non-Disparagement. For the term of this agreement and two years after its termination, Producer will not disparage MyLikes or Candid or otherwise take any action which could reasonably be expected to adversely affect MyLikes’s reputation or public perception. Producer will not disparage MyLikes, Candid, or any of MyLikes or Candid’s directors, officers, agents or executives, or otherwise take any action which could reasonably be expected to adversely affect the personal or professional reputation of the service or any of its directors, officers, agents, or employees.
11. Survivability. Section 8 of this Agreement (Confidentiality) will survive termination of the Agreement.
12. Entirety of Agreement. This Agreement sets forth the entire agreement of the parties and supersedes and replaces all prior oral and written agreements and understandings. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall nevertheless remain in full force and effect, and the invalid or unenforceable provision(s) shall be replaced by valid or enforceable provision(s).

APPENDIX A: Video Specification
Number of Videos: Producer will create ______ videos
Video Format: Videos will focus on Candid and its features, including groups, comments, posts, Artificial Intelligence moderation, badge-system, etc.
Video Standards: Videos will be shot in a style or format substantially similar to Producer’s normal videos, or in keeping with Producer’s normal aesthetic.
Video Topic Approval: Video topic and general guidelines must be approved by a Candid representative in writing (email ok) before being uploaded in order to qualify for payment. Producer
agrees to incorporate talking points provided by Candid
Video Description: Video descriptions must mention the Candid app and include a link to becandid.com.
Non-Deletion: Producer will not delete video(s) promoting Candid.
